These Terms and Conditions ("Terms") govern your use of the Sebata Resources website and the services provided by Sebata Resources ("Sebata Resources", "we", "us", or "our").
By using our website, submitting an enquiry, requesting a quotation, or engaging our services, you agree to these Terms and any additional terms stated in the quotation or agreement applicable to your project.
If a specific quotation or written agreement contains terms that differ from these general Terms, the specific written agreement will apply to that project.
1. ABOUT SEBATA RESOURCES
Sebata Resources is a Malaysia-registered business providing website design, website development, landing page development, hosting, maintenance, SEO, analytics, domain-related services, and other related website services.
Our services are generally provided based on the requirements and scope agreed with each client.
2. WEBSITE INFORMATION
The information provided on this website is intended to describe our services and provide general information.
We make reasonable efforts to keep the information accurate and current. Service descriptions, features, processes, availability, and other information change over time.
Website content does not constitute a binding quotation unless expressly identified as such.
3. ENQUIRIES AND QUOTATIONS
Submitting an enquiry or quotation request does not create a contract.
Before work begins, Sebata Resources provides a quotation or project agreement describing the applicable scope, pricing, payment terms, deliverables, timeline, and other project-specific conditions.
A project becomes binding when the quotation or applicable agreement is accepted according to the stated terms.
4. PROJECT SCOPE
Each project is scoped according to the client's requirements.
Depending on the project, services include:
- Website strategy
- Information architecture
- UI/UX design
- Website development
- Landing page development
- Technical SEO
- Analytics setup
- Domain configuration
- Hosting
- Website maintenance
- Monitoring and backups
- Other agreed website services
The exact services included in a project are determined by the applicable quotation or agreement.
5. WEBSITE TIMELINES
Website projects generally take approximately two to three weeks.
This is a general estimate and is not a guaranteed delivery date.
The actual timeline depends on factors including:
- Project complexity
- Scope of work
- Client responsiveness
- Client approvals
- Content availability
- Image and media availability
- Domain and hosting access
- Third-party services
- Technical requirements
- Requested revisions
- Changes to the agreed scope
If the client delays providing required information, materials, approvals, access credentials, or other requirements, we extend the project timeline.
Where practical, Sebata Resources continues other parts of the project while waiting for the client's materials and uses temporary placeholder content until the required materials arrive.
6. CLIENT RESPONSIBILITIES
The client is responsible for providing information and materials reasonably required to complete the project.
This includes:
- Business information
- Text and website copy
- Images
- Logos
- Brand assets
- Product or service information
- Contact information
- Domain access
- Hosting access
- Third-party account access
- Approvals and feedback
- Other project-specific materials
The client is responsible for ensuring that information and materials supplied to Sebata Resources are accurate and that the client has the necessary rights and permissions to use those materials.
7. REVISIONS
Unless otherwise stated in the quotation, the project includes up to two rounds of revisions.
A revision round means a consolidated set of reasonable changes requested after a design or deliverable is presented for review.
The exact revision process varies by project.
Requests that substantially change the agreed scope, introduce new features, require new pages, require significant redesign, or otherwise go beyond the agreed project scope count as additional work and incur additional charges.
8. PAYMENT
Payment is made by bank transfer unless otherwise agreed in writing.
The payment schedule and required deposit are determined according to the individual project quotation.
For larger or more complex projects, Sebata Resources requires a deposit of approximately 40% before commencing work. The applicable quotation states the exact deposit amount.
Sebata Resources uses a different payment structure for other projects depending on scope and complexity.
9. COMMENCEMENT OF WORK
Work begins after we receive the required deposit or initial payment and the necessary project information.
Sebata Resources is not required to commence work until the applicable commencement conditions have been satisfied.
10. CHANGES TO PROJECT SCOPE
A request for additional functionality, pages, integrations, design work, content work, or other requirements outside the agreed scope requires additional fees and affects the project timeline.
We discuss additional work with you before we start where reasonably practicable.
11. CANCELLATION
If a client wishes to cancel a project, they should contact Sebata Resources as soon as possible.
Because we often have already performed work, deposits and payments already made are generally non-refundable.
Any specific cancellation arrangement will be subject to the applicable quotation, written agreement, and applicable law.
12. REFUNDS
Payments made to Sebata Resources are generally non-refundable.
This includes deposits and payments relating to work that has already been performed, resources committed, project preparation, design, development, or other services already provided.
Nothing in these Terms excludes any refund or other right where applicable law prohibits exclusion.
13. SOURCE CODE AND REUSABLE TECHNOLOGY
Sebata Resources retains ownership of its underlying source code, reusable components, libraries, frameworks, development systems, templates, tools, processes, technical methods, and know-how used to create websites.
The client does not automatically receive ownership or unrestricted access to Sebata Resources' underlying source code.
The client receives the deployed website and the rights to use the completed website according to the agreed project terms.
Sebata Resources reuses general-purpose code, components, techniques, systems, and know-how across different projects, provided we do not improperly disclose or reuse the client's confidential information and proprietary materials.
14. CLIENT CONTENT AND INTELLECTUAL PROPERTY
The client retains responsibility for content, branding, logos, photographs, text, trademarks, and other materials supplied by the client.
The client represents that they have the necessary rights and permissions to use those materials.
The client grants Sebata Resources permission to use those materials solely as reasonably necessary to provide the agreed services.
Unless otherwise agreed in writing, Sebata Resources does not guarantee that third-party materials supplied by the client are legally licensed.
15. DOMAIN OWNERSHIP
The client owns their domain name.
Where Sebata Resources assists with domain registration, configuration, renewal, or management, the domain remains associated with the client subject to the applicable registrar's terms.
The client is responsible for providing accurate registration information and ensuring that domain-related requirements are maintained.
16. HOSTING
Hosting arrangements depend on the project and client requirements.
Sebata Resources manages or controls hosting for a client's website in some arrangements. In other arrangements, the client or another provider controls hosting.
The applicable quotation or agreement determines the hosting arrangement for the project.
Where Sebata Resources manages hosting, the client agrees to comply with the applicable hosting and service requirements communicated by Sebata Resources.
17. ANNUAL RENEWAL
Unless otherwise stated in the applicable quotation, continuation of the Sebata Resources service after the first project year requires an annual renewal payment.
The annual renewal fee is 50% of the original Year 1 project price.
For example, if the original Year 1 project price is RM3,000, the annual renewal fee would be RM1,500.
The applicable renewal fee will be based on the original Year 1 project price unless otherwise agreed in writing.
The annual renewal covers the continuation of the services associated with the project, including hosting, maintenance, monitoring, backups, and other services included in the client's arrangement with Sebata Resources.
The exact services included vary by project. The applicable quotation or agreement determines them.
18. RENEWAL PAYMENT PERIOD
The annual renewal payment is due on the applicable renewal date.
If the renewal payment is not received when due, Sebata Resources will provide a 30-day period for the client to complete the renewal payment.
During this period, Sebata Resources continues providing the applicable service.
If the renewal payment remains unpaid after the 30-day period, Sebata Resources suspends the relevant services and takes the website offline.
Renewal after suspension requires payment of the applicable outstanding or renewal amount before we restore services.
19. WEBSITE MAINTENANCE AND BUG FIXES
Sebata Resources fixes bugs and technical issues affecting websites we have developed.
Bug fixes are handled as part of Sebata Resources' ongoing support approach rather than through a separate fixed warranty period.
This does not automatically include new features, redesigns, major changes, third-party failures, changes made by the client or another developer, or functionality that was not part of the agreed project scope.
20. THIRD-PARTY SERVICES
Websites rely on third-party services such as hosting providers, domain registrars, analytics providers, APIs, payment systems, plugins, libraries, and other external services.
Sebata Resources is not responsible for failures, outages, policy changes, security incidents, pricing changes, or discontinuation of third-party services that are outside its reasonable control.
21. CLIENT-CAUSED ISSUES
Sebata Resources is not responsible for problems caused by:
- Unauthorized changes to the website
- Changes made by the client
- Changes made by another developer or service provider
- Incorrect credentials or configuration supplied by the client
- Unsupported third-party integrations
- Client-supplied materials
- Changes to external platforms
- Failure by the client to follow reasonable instructions
- Expired domains or third-party services controlled by the client
Sebata Resources assists with resolving such issues where practical, but we charge for additional work depending on the circumstances.
22. PORTFOLIO AND CASE STUDIES
Unless otherwise agreed in writing, the client grants Sebata Resources permission to showcase completed website projects in its portfolio, website, case studies, presentations, proposals, and marketing materials.
This includes:
- Screenshots of the completed website
- Website designs
- The client's business name
- The client's logo or publicly available branding
- A description of the work performed
If a client requires the project to remain confidential or not to be displayed publicly, the client should agree this with Sebata Resources in writing.
23. TESTIMONIALS AND REFERENCES
Where a client voluntarily provides a testimonial, review, recommendation, or other feedback, Sebata Resources uses that material for business and promotional purposes, subject to any specific agreement with the client.
Sebata Resources will not falsely represent a client's endorsement or create a testimonial that the client did not provide.
24. WEBSITE SECURITY
Sebata Resources takes reasonable measures when developing and maintaining websites.
No website, hosting environment, software, network, or internet service guarantees complete security or continuous availability.
Security also depends on third-party services, hosting providers, plugins, APIs, client credentials, and other systems outside Sebata Resources' direct control.
25. WEBSITE AVAILABILITY
Sebata Resources will make reasonable efforts to maintain services under its control.
Temporary downtime occurs because of maintenance, upgrades, technical failures, hosting issues, security incidents, third-party outages, domain issues, and circumstances outside our reasonable control.
No specific uptime guarantee applies unless expressly stated in the applicable quotation or agreement.
26. PROHIBITED USE
You must not use our website or services for unlawful, fraudulent, malicious, or abusive purposes.
You must not attempt to gain unauthorized access to systems, interfere with website operation, introduce malicious software, or misuse Sebata Resources' systems or services.
27. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Sebata Resources will not be liable for indirect, incidental, consequential, special, or unforeseeable losses arising from the use of our website or services.
This includes loss of profits, business interruption, loss of data, loss of business opportunities, and losses resulting from third-party services.
Nothing in these Terms excludes or limits liability where Malaysian law prohibits exclusion or limitation.
28. FORCE MAJEURE
Sebata Resources will not be responsible for delays or failures caused by circumstances reasonably outside its control.
These include natural disasters, serious technical failures, internet or telecommunications outages, hosting failures, third-party service outages, government actions, cyber incidents, labor disruptions, and other circumstances beyond reasonable control.
29. CONFIDENTIALITY
Sebata Resources will take reasonable steps to protect confidential business information provided by clients in connection with a project.
The client is also expected not to disclose Sebata Resources' confidential business information, pricing information, proprietary development methods, credentials, or other confidential information without permission.
This does not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.
30. CHANGES TO SERVICES
Sebata Resources updates, modifies, replaces, or discontinues parts of its services where reasonably necessary.
Project-specific commitments contained in an accepted quotation or agreement will remain subject to those applicable project terms.
31. CHANGES TO THESE TERMS
We update these Terms from time to time.
The latest version will be published on this website with a revised "Last updated" date.
Continued use of the website after an updated version is published constitutes acceptance of the updated Terms to the extent permitted by applicable law.
32. GOVERNING LAW
These Terms are governed by the laws of Malaysia.
Any dispute relating to these Terms or services provided by Sebata Resources will be subject to the applicable laws and jurisdiction of Malaysia.

34. SEVERABILITY
